These Terms of Service (“Terms”) govern your access to and use of the websites, platforms, subscriptions, and services provided by Private Parking Company® (“PPC,” “we,” “our,” or “us”).

By accessing our websites, enrolling in a PPC program, or using any PPC services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

1. Scope of Services

Private Parking Company provides secure, managed parking solutions for fleets, commercial vehicles, drivers, and facility partners, including but not limited to:

  • Reserved and subscription-based parking access

  • Facility partner programs

  • Fleet and driver support services

  • Technology-enabled access and operations systems

Services may vary by location, plan, and availability.

2. Eligibility

To use PPC services, you must:

  • Be at least 18 years of age

  • Have the authority to enter into a binding agreement

  • Provide accurate and complete information during registration or onboarding

Use of PPC services on behalf of a company constitutes acceptance of these Terms by that entity.

3. Account Registration & Responsibilities

You are responsible for:

  • Maintaining accurate account and billing information

  • Safeguarding login credentials

  • All activity conducted under your account

PPC is not responsible for unauthorized access resulting from your failure to protect account credentials.

4. Subscriptions, Pricing & Payments

a. Subscription Services

Certain PPC services are offered on a subscription basis. Subscription details, pricing, and features are disclosed at the time of enrollment.

b. Billing & Auto-Renewal

  • Subscription fees are billed in advance on a recurring basis.

  • Subscriptions automatically renew unless canceled prior to the next billing cycle.

  • You may receive renewal or billing notices via email or account communications.

c. Payment Processing

PPC uses third-party payment processors to handle billing and transactions.

PPC is not responsible for errors, delays, chargebacks, or security issues arising from third-party payment processor systems.

Payment disputes related to processing must be directed to the payment processor.

d. Cancellations & Refunds

  • Subscriptions are month-to-month unless otherwise specified in writing.

  • Cancellations must be submitted before the next billing cycle to avoid charges.

  • All fees are non-refundable unless explicitly stated otherwise in writing.

5. Facility Access & Use Rules

Users agree to:

  • Use PPC facilities solely for authorized parking purposes

  • Follow posted rules, signage, and access instructions

  • Comply with all applicable laws, regulations, and safety requirements

PPC reserves the right to suspend or terminate access for misuse, unsafe behavior, non-payment, or violations of these Terms.

6. Availability & Force Majeure

While PPC strives to provide consistent and reliable access, availability is not guaranteed and may be affected by operational, maintenance, safety, or external conditions.

Force majeure events include, but are not limited to, natural disasters, severe weather, governmental actions, labor disputes, pandemics, infrastructure failures, utility outages, or other events beyond PPC’s reasonable control.

PPC is not liable for service interruptions caused by such events.

7. Facility Partners

Facility partners:

  • Retain ownership and control of their properties

  • Grant PPC limited rights to operate, manage, and market parking services

PPC does not assume responsibility for conditions outside its reasonable operational control but works to maintain consistent standards across its network.

8. Prohibited Conduct

You may not:

  • Use PPC services for unlawful purposes

  • Damage or interfere with property, systems, or infrastructure

  • Circumvent access controls or operational safeguards

  • Harass staff, partners, or other users

  • Misrepresent identity, authorization, or account ownership

  • Violations may result in immediate suspension or termination without refund.

9. Intellectual Property

All PPC content, trademarks, logos, systems, software, and materials are the exclusive property of Private Parking Company®.

No PPC intellectual property may be copied, modified, distributed, or used without prior written consent.

10. Disclaimers

PPC services are provided “as is” and “as available.”

To the fullest extent permitted by law:

• PPC disclaims all express and implied warranties

• PPC does not guarantee specific outcomes, availability, revenue, or operational performance

11. Limitation of Liability

To the maximum extent permitted by law:

  • PPC shall not be liable for indirect, incidental, consequential, or punitive damages

  • PPC’s total liability shall not exceed the amount paid by you to PPC in the 30 days preceding the claim

This limitation applies regardless of the legal theory asserted.

12. Indemnification

You agree to indemnify and hold harmless PPC, its officers, employees, partners, affiliates, and agents from any claims, losses, damages, liabilities, or expenses arising from:

• Your use of PPC services

• Violations of these Terms

• Misuse of facilities or systems

13. Dispute Resolution

The parties agree to attempt to resolve any disputes arising under these Terms through good-faith negotiation.

If a dispute cannot be resolved informally, it may be submitted to binding arbitration in Cook County, Illinois, in accordance with the rules of the American Arbitration Association, except that either party may bring qualifying claims in small claims court where permitted.

14. Suspension & Termination

PPC may suspend or terminate access:

• For non-payment

• For violations of these Terms

• To comply with legal, regulatory, or safety requirements

Termination does not relieve outstanding payment obligations.

15. Governing Law & Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.

Except as provided in Section 13, any legal action shall be brought exclusively in the state or federal courts located in Cook County, Illinois.

16. No Waiver

Failure by PPC to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

18. Modifications to Terms

PPC may update these Terms periodically. Updates will be posted with a revised “Last Updated” date. Continued use of PPC services constitutes acceptance of the revised Terms.

19. Entire Agreement

These Terms, together with the Privacy Policy and any applicable service-specific agreements, constitute the entire agreement between you and PPC regarding use of the services.
